Commercial Terms of Supply

Standard commercial conditions governing B2B procurement, quotation acceptance, product warranties, logistics, and supply fulfillment.

Clause 1

Quotation Validity & Commercial Pricing

All commercial quotations and Proforma Invoices (PI) issued by JSS Scientific Solutions remain valid for a standard duration of 30 (thirty) calendar days from the date of issuance, unless explicitly stated otherwise in writing on the quotation document.

Prices quoted for imported chemicals, specialty reagents, or overseas metrology instruments are subject to revision prior to Purchase Order (PO) acceptance in cases of significant statutory duty revisions, exchange rate variations exceeding 5%, or manufacturer price updates.

Clause 2

Purchase Order (PO) Acceptance & Order Contract

A contract of supply is deemed executed only upon receipt of a formal written Purchase Order (PO) or official tender award from the purchasing institution, accompanied by written order acknowledgment from JSS Scientific Solutions.

Minimum Order Quantities: Certain specialty plasticware, custom tooling molds, and pre-packaged chemicals are subject to manufacturer Pack Size / MOQ requirements.
Order Amendments: Modifications to catalog numbers or quantities after order confirmation must be agreed in writing prior to factory dispatch.

Taxes, GST Invoicing & Statutory Compliance

All supplies are billed with statutory Goods & Services Tax (GST) as applicable under the Indian GST tariff schedule (CGST/SGST for Telangana and IGST for inter-state dispatches) under GSTIN: 36AAMFJ5369D1Z4.

  • Concessional GST for Research: DSIR / concessional GST certificates issued to registered universities and research laboratories must be provided alongside the PO prior to invoice generation.
  • E-Invoicing: Compliant GST e-invoices with valid IRN and QR codes are generated for all corporate and institutional supplies.
Clause 4

Delivery Timelines, Dispatch & Incoterms

Standard delivery terms are Free On Road (FOR) Destination or Ex-Warehouse as designated on the commercial quote.

Ex-Stock Supplies: Standard dispatch within 2 to 5 business days from our Telangana HQ or Gujarat branch.
Indent & Import Items: Dispatch timeline communicated during quotation (typically 2 to 6 weeks for specialized imported reagents).
Transit Documentation: Valid e-way bills accompany all shipments exceeding statutory invoice value thresholds.
Clause 5

Quality Assurance & Certificate of Analysis (CoA)

JSS Scientific Solutions exclusively supplies original, factory-sealed products sourced through authorized OEM channels.

Batch Certificate (CoA): Manufacturer Certificates of Analysis, Material Safety Data Sheets (MSDS), and inspection test reports are furnished with each chemical / reagent batch upon request.
Shelf-Life Guarantee: Reagents and diagnostic kits are supplied with optimal remaining shelf life as per standard industry research specifications.
Clause 6

Equipment OEM Warranty & Technical Support

Analytical equipment, spectrophotometers, laboratory freezers, and diagnostic apparatus carry the original Manufacturer’s Standard Warranty (typically 12 months from date of installation or dispatch, as specified by the OEM).

Warranty covers manufacturing defects in materials and workmanship. Consumables, glassware breakage, normal wear, and damage arising from improper electrical supply or unauthorized servicing are excluded.

Clause 7

Chemical Storage, Consumables & Return Restrictions

Due to strict quality control and biological integrity standards, the following product return policies apply:

Non-Returnable Product Categories:
  • Temperature-controlled reagents, biochemicals, enzymes, primers, and diagnostic kits once dispatched.
  • Opened sterile plasticware, micropipette tips, and laboratory glassware packages.
  • Custom-machined industrial tooling dies and customized injection molds fabricated against client blueprints.
Discrepancies in quantity or transit damage must be notified in writing within 48 hours of parcel receipt with supporting unboxing media.
Clause 8

Force Majeure & Legal Jurisdiction

Neither party shall be held liable for failure or delay in fulfilling delivery obligations due to events beyond reasonable control (Force Majeure), including natural calamities, statutory import bans, industrial strikes, or government supply restrictions.

Governing Law: The contract of supply is governed by the laws of the Republic of India.
Jurisdiction: All commercial disputes arising out of supplies shall be subject to the exclusive jurisdiction of competent courts in Secunderabad / Hyderabad, Telangana.
